Non-Disclosure Agreement
1. Recognising that certain information may be unpublished and/or subject to commercial restrictions under the terms of contracts with third parties and/or have economic value if disclosed to competitors and/or customers and/or suppliers, I shall keep as confidential all information disclosed to me whatsoever by Mark Woods of Watermark Financial Solutions Ltd (“the Principal”) or parties introduced to me by the Principal relating to the existence of and details of the opportunity entitled Unique IFA Partnerships, save for that information where I have the explicit permission to disclose from the Principal or one of his authorised agents.
2. The undertakings under Clause 1 shall not apply to:
(i) any information which I am able to reasonably establish as previously known to me; or
(ii) any information provided to me by a third party who had the right to make such information available; or
(iii) any information which may become public knowledge other than through breach of any undertaking contained herein.
3. The confidentiality obligation will survive until such time as I may receive formal notice from the Principal, or his authorised agent thereof, of a release therefrom.
4. Where I have to through due process and/or where I obtain the permission of the Principal to disclose the said information to an employee and/or associate and/or 3rd party adhere to this Non Disclosure undertaking on the same term as set out herein.
